Job Title: Manager Acquisition

Summary of essential job functions
The person would be providing all requisite assistance to the Advisor, BOGD in identification, preliminary evaluation, structuring, valuation, implementation, and in integration of the potential candidates for acquisition.

The primary functions of the job would be to provide assistance in carrying out the following functions:

Identification of Companies
  • To understand the business of Group comprising of various businesses and Group Companies. To understand and appreciate the businesses in which inorganic growth could be the preferred route to achieve organizational objectives.
  • To conduct search through ‘various means’ to identify and shortlist the potential companies which could meet the required criteria. ‘Various means’ to include extensive web based search, scrutinizing the member listings of various industry associations / organizations, personal contacts, associates networks, and wherever feasible and desirable, using direct contact, etc.
  • Screening the shortlisted companies to cull out the companies which meet the required criteria.
Evaluation of the Identified Companies
  • To carry out preliminary evaluation of the shortlisted companies. This preliminary evaluation will help in carrying out discussions and negotiations with the identified companies. Evaluation will include an evaluation of the market, business, competition and the financial evaluation of the shortlisted companies. Discussions will be held with the shortlisted companies to arrive at a list of potential candidates for acquisition.
Valuation of the Identified Companies
  • To carry out valuation of the identified companies. This will include a deep analysis of the companies’ financials, making financial projections, producing requisite projected financial statements, etc. for working out financial valuation using different methods of valuation.
Preparing Transfer Documentation
  • In accordance with the finalized deal structure, prepare transfer documentation. This may include MOU, share transfer agreements, shareholders agreements, non-compete agreements, other indemnities, etc.
Overseeing compliance with the Conditions Subsequent
  • Post signing of the transfer documents, ensuring compliance with all the ‘conditions subsequent’ as mentioned in the transfer documents in a time bound manner.
  • To do all other activities which are required in the course of acquisition and any and all such activities which contribute to the objectives of BoGD.
Abilities required
  • Advanced knowledge of web based search – through various data bases, listing of industry associations, business directories, Registrar of Companies, and various M&A portals, etc.
  • Deep understanding of reading and analyzing the business results and financials of companies, and the audit reports to cull out information critical for carrying out evaluation of the companies
  • Ability to make business projections, based on various parameters culled out from analysis of historical financial statements, and producing requisite financial statement which help in valuation of the companies
  • Expertise in carrying out financial modeling using MS Excel to make projections, prepare projected financial statements and carry out valuation of companies using different methods.
  • Ability to prepare evaluation reports of the identified companies to be presented to the top management for necessary decision making
  • A basic understanding of the legal and contractual framework for corporates in India and documentation for transfer of stake / acquisition of companies. Ability to read legal documents and to carry out basic drafting of the legal documents.
  • Ability to prepare reports / power point presentations for the top management of the Company
  • The person should be self-motivated, self-starter and a pleasing personality with excellent analytical skills and communication skills.
